Compliance (von to comply with, einer Sache entsprechen) bezeichnet das Handeln im Einklang mit dem geltenden Recht sowie mit internen Weisungen und freiwilligen Standards. Nach heutigem Verständnis umfasst der Begriff die Pflicht von Verwaltungsrat und Geschäftsleitung, durch geeignete organisatorische Vorkehren rechtmässiges Verhalten des Unternehmens und der Mitarbeitenden sicherzustellen sowie Verstösse rasch aufzudecken und zu sanktionieren. Compliance ist ein Kernelement guter Corporate Governance; bei Banken und anderen Beaufsichtigten verlangt die FINMA eine unabhängige Compliance-Funktion (FINMA-RS 2017/1).

Compliance (from to comply with) denotes conduct in accordance with applicable law as well as with internal directives and voluntary standards. As understood today, the term covers the duty of the board of directors and executive management to ensure, through appropriate organisational precautions, that the company and its employees act lawfully, and to detect and sanction violations swiftly. Compliance is a core element of good corporate governance; for banks and other supervised institutions FINMA requires an independent compliance function (FINMA Circular 2017/1).
