Clausula rebus sic stantibus is the assumption that every contract contains, explicitly or implicitly, the clause that in the event of a substantial change in the circumstances existing at the time of its conclusion, the contract may be cancelled or its content modified. Clausula rebus sic stantibus ist die Annahme, jeder Vertrag enthalte ausdrücklich oder stillschweigend die Klausel, dass bei einer wesentlichen Änderung der zur Zeit seines Abschlusses bestehenden Verhältnisse der Vertrag aufgelöst oder inhaltlich modifiziert werden kann. Der Schuldner ist zu befreien, wenn aussergewöhnliche und billigerweise nicht vorauszusehende Umstände zur Folge haben, dass die Leistungspflicht für den Schuldner derartige Auswirkungen hätte, dass das Beharren darauf seinem ökonomischen Ruin gleichkommen würde.
