Dissent

Dissent is the absence of agreement between the expressions of will of the parties; it is open if the parties are aware, and therefore know, that the contract has not been concluded. Concealed dissent is when the parties believe that they are in agreement, when in reality their statements do not agree. A divergence of terms does not necessarily lead to dissent.

Der Dissens ist Fehlen der Übereinstimmung der Willensäusserungen der Parteien; er ist offen, wenn er den Parteien bewusst, und ihnen daher bekannt ist, dass der Vertrag nicht zustande gekommen ist. Von einem verdeckten Dissens spricht man dagegen, wenn die Parteien einig zu sein glauben, während ihre Erklärungen in Wirklichkeit nicht übereinstimmen. Eine Divergenz der Bezeichnungen hat nicht notwendigerweise auch einen Dissens zur Folge.
