Limited partnership

The limited partnership is the association of several persons under a common company name to carry on a commercial business, with the characteristic that at least one partner (general partner) has unlimited liability, and at least one partner (limited partner) has liability only up to the amount of a certain capital contribution (limited partner).

Die Kommanditgesellschaft ist die Vereinigung mehrerer Personen unter gemeinsamer Firma zum Betriebe eines nach kaufmännischer Art geführten Gewerbes, mit der Eigentümlichkeit, dass mindestens ein Gesellschafter (Komplementär) unbeschränkt, und mindestens ein Gesellschafter (Kommanditär) nur bis zum Betrage einer bestimmten Vermögenseinlage (Kommandite) haftet.
