Self-contracting

The self-contracting of the representative, i.e. the conclusion of a contract or the execution of a unilateral legal transaction by a person as a representative of a third party with himself as a partner is in principle inadmissible under Swiss law; however, it is permissible where there is no conflict between the interests of the representative and those of the person represented and thus für the represented person does not run the risk of being overcharged.

Das Selbstkontrahieren des Vertreters, d. h. der Abschluss eines Vertrages, bzw. die Tätigung eines einseitigen Rechtsgeschäfts einer Person als Vertreter eines Dritten mit sich selbst als Partner ist nach schweizerischem Recht grundsätzlich unzulässig; es ist jedoch da zulässig, wo zwischen den Interessen des Vertreters und denjenigen des Vertretenen kein Widerstreit und damit für den Vertretenen nicht die Gefahr der Übervorteilung besteht.
