Simulated legal transaction

A simulated legal transaction only exists if the real will of the parties does not coincide with the expressed will, i.e. if the parties merely aim to create the appearance of a serious transaction towards third parties while internally they agree that the declarations made among them shall have no legal consequences whatsoever or shall not have the legal consequences corresponding to their content.

Ein simuliertes Rechtsgeschäft liegt nur dann vor, wenn sich der wirkliche Parteiwille mit dem ausgesprochenen nicht deckt, d. h. wenn die Parteien lediglich bezwecken, nach aussen hin, Dritten gegenüber, den Schein eines ernstlichen Geschäftes zu erwecken während sie sich intern einig sind, dass unter ihnen die abgegebenen Erklärungen keinerlei oder doch nicht die ihrem Inhalte entsprechenden Rechtsfolgen haben sollen.
