Das Organisationsreglement ist das vom Verwaltungsrat erlassene interne Regelwerk, das gestützt auf Art. 716b OR die Geschäftsführung ordnet, insbesondere die Delegation an die Geschäftsleitung, die Kompetenzordnung, die Ausschüsse, die Berichterstattung und die Behandlung von Interessenkonflikten. Eine gültige Delegation setzt eine statutarische Ermächtigung und ein Organisationsreglement voraus; sie entlastet den Verwaltungsrat haftungsrechtlich auf die Sorgfalt bei Auswahl, Instruktion und Überwachung (Art. 754 Abs. 2 OR).

Organisational regulations 1088-en
The organisational regulations are the internal rules issued by the board of directors which, based on Art. 716b CO, order the conduct of business, in particular the delegation to executive management, the allocation of authority, the committees, reporting and the handling of conflicts of interest. A valid delegation requires authorisation in the articles of association and organisational regulations; it limits the board's liability to due care in selection, instruction and supervision (Art. 754 para. 2 CO).
