Audit committee

The audit committee is a committee of the board of directors which oversees the integrity of financial reporting, the internal control system, internal audit, and the selection, independence and performance of the external auditors. Under the Swiss Code it should consist of a majority of independent members with financial expertise. It prepares the decisions of the full board; responsibility remains with the board as a whole.

Der Prüfungsausschuss (Audit Committee) ist ein Ausschuss des Verwaltungsrats, der die Integrität der Finanzberichterstattung, das interne Kontrollsystem, die interne Revision sowie Auswahl, Unabhängigkeit und Leistung der externen Revisionsstelle überwacht. Nach dem Swiss Code soll er mehrheitlich aus unabhängigen, finanzkompetenten Mitgliedern bestehen. Er bereitet die Entscheide des Gesamtverwaltungsrats vor; die Verantwortung verbleibt beim Gesamtgremium.
