Board independence

Board independence requires that a sufficient number of members be free from ties of interest that could influence their judgement. Under the Swiss Code, a member is independent if he or she has no executive function and has had none during the past three years, and maintains no material business relations with the company. Independence is central for the audit and compensation committees and for the credibility of the board's oversight of management.

Unabhängigkeit des Verwaltungsrats 1089-de
Die Unabhängigkeit des Verwaltungsrats verlangt, dass eine ausreichende Zahl von Mitgliedern frei von Interessenbindungen ist, welche das Urteil beeinflussen könnten. Nach dem Swiss Code gilt als unabhängig, wer nicht exekutiv tätig ist und es in den letzten drei Jahren nicht war sowie keine wesentlichen Geschäftsbeziehungen zur Gesellschaft unterhält. Unabhängigkeit ist zentral für Prüfungs- und Vergütungsausschuss und für die Glaubwürdigkeit der Aufsicht über das Management.
