Board of directors

The board of directors is the supreme management and supervisory body of the company limited by shares (Art. 707 et seq. CO). It is responsible for overall direction, determining the organisation, structuring the accounting and financial control systems, appointing and supervising executive management, and the non-transferable duties under Art. 716a CO. Its members are liable under Art. 754 CO for intentional or negligent breaches of duty; within groups, the principle of individual responsibility applies.

Der Verwaltungsrat ist das oberste Leitungs- und Aufsichtsorgan der Aktiengesellschaft (Art. 707 ff. OR). Ihm obliegen die Oberleitung, die Festlegung der Organisation, die Ausgestaltung von Rechnungswesen und Finanzkontrolle, Ernennung und Überwachung der Geschäftsleitung sowie die unübertragbaren Aufgaben nach Art. 716a OR. Die Mitglieder haften nach Art. 754 OR für absichtliche oder fahrlässige Pflichtverletzungen; im Konzern gilt das Prinzip der Einzelverantwortung.
