Proxy voting is the exercise of shareholders' voting rights at general meetings, in the institutional sphere usually based on voting guidelines and proxy advisers. Swiss pension funds must, for listed Swiss companies, vote in the interests of their beneficiaries on the agenda items specified by law (including remuneration and elections) and disclose their voting behaviour (Art. 71a et seq. OPA). Proxy voting is a core element of stewardship.

Die Stimmrechtsausübung (Proxy Voting) ist die Wahrnehmung der Aktionärsstimmrechte an Generalversammlungen, im institutionellen Bereich meist gestützt auf Abstimmungsrichtlinien und Stimmrechtsberater. Schweizer Pensionskassen müssen bei kotierten Schweizer Gesellschaften in den gesetzlich bestimmten Traktanden (u. a. Vergütungen, Wahlen) im Interesse der Versicherten stimmen und ihr Stimmverhalten offenlegen (Art. 71a f. BVG). Die Stimmrechtsausübung ist Kernelement des Stewardship.
