Utility token

According to FINMA's practice, utility tokens confer access to a digital application or service running on a blockchain infrastructure. They do not qualify as securities provided the application is already functional at the time of issue and the token merely entitles the holder to obtain the service. If it is issued before completion, or if in economic terms it serves as an investment, FINMA treats it as an asset token, with the corresponding prospectus and licensing consequences. The line is delicate in practice.

Nutzungstoken vermitteln nach der Praxis der FINMA Zugang zu einer digitalen Anwendung oder Dienstleistung, die auf einer Blockchain-Infrastruktur beruht. Sie gelten nicht als Effekten, sofern die Anwendung im Zeitpunkt der Ausgabe bereits funktionsfähig ist und der Token einzig zum Bezug der Leistung berechtigt. Wird er vor Fertigstellung ausgegeben oder dient er wirtschaftlich der Kapitalanlage, behandelt ihn die FINMA als Anlagetoken, mit entsprechenden Prospekt- und Bewilligungsfolgen. Die Abgrenzung ist im Einzelfall heikel.
