The company law reform of 2023 (in force since 1 January 2023) comprehensively modernised the law of the company limited by shares: more flexible capital (capital band, share capital in foreign currency, abolition of the former rules on intended acquisitions in kind), strengthened shareholder rights, transfer of the Ordinance against Excessive Remuneration into the CO, gender guidelines for the board (30%) and executive management (20%) of large listed companies, transparency rules for commodity firms, and new provisions on impending illiquidity and restructuring (Art. 725 et seq. CO).

Die Aktienrechtsrevision 2023 (in Kraft seit 1. Januar 2023) modernisierte das Recht der AG umfassend: flexibleres Kapital (Kapitalband, Aktienkapital in Fremdwährung, Abschaffung der Sacheinnahme-Vorschriften a. F.), Stärkung der Aktionärsrechte, Überführung der VegüV ins OR, Geschlechterrichtwerte für Verwaltungsrat (30 %) und Geschäftsleitung (20 %) grosser kotierter Gesellschaften, Transparenzregeln für Rohstoffunternehmen sowie neue Bestimmungen zu drohender Zahlungsunfähigkeit und Sanierung (Art. 725 ff. OR).
