Conflict of interest

A conflict of interest exists where the personal or other interests of a corporate officer or employee may collide with the interests of the company, for instance in self-dealing, multiple directorships or related-party transactions. Under Art. 717a CO, members of the board and of executive management must report conflicts of interest immediately and completely; the board takes the measures needed to safeguard the company's interests, such as recusal.

Ein Interessenkonflikt liegt vor, wenn die persönlichen oder anderweitigen Interessen eines Organmitglieds oder Mitarbeiters mit den Interessen der Gesellschaft kollidieren können, etwa bei Eigengeschäften, Doppelmandaten oder Geschäften mit Nahestehenden. Nach Art. 717a OR haben Mitglieder von Verwaltungsrat und Geschäftsleitung Interessenkonflikte unverzüglich und vollständig zu melden; der Verwaltungsrat ergreift die zur Wahrung der Gesellschaftsinteressen nötigen Massnahmen, etwa Ausstand.
