Liability action against officers

The liability action (Art. 754 et seq. CO) is directed against members of the board of directors, executive management or the auditors for damage caused by intentional or negligent breach of duty. The company and individual shareholders have standing to sue, and in bankruptcy the creditors as well. The prerequisites are damage, breach of duty, causation and fault; discharge by the general meeting and the business judgment rule limit liability.

Verantwortlichkeitsklage 1095-de
Die Verantwortlichkeitsklage (Art. 754 ff. OR) richtet sich gegen Mitglieder des Verwaltungsrats, der Geschäftsleitung oder der Revisionsstelle für den Schaden, den sie durch absichtliche oder fahrlässige Pflichtverletzung verursachen. Klageberechtigt sind die Gesellschaft und die einzelnen Aktionäre, im Konkurs auch die Gläubiger. Vorausgesetzt sind Schaden, Pflichtverletzung, Kausalzusammenhang und Verschulden; die Décharge und die Business Judgment Rule wirken haftungsbeschränkend.
