Non-transferable board duties

The non-transferable and inalienable duties of the board of directors are exhaustively listed in Art. 716a CO: overall direction and issuing the necessary instructions, determination of the organisation, structuring of accounting, financial control and financial planning, appointment, removal and ultimate supervision of management, preparation of the annual report, preparation of the general meeting, and notification of the court in the event of overindebtedness. Their preparation may be delegated, but not the duties themselves.

Die unübertragbaren und unentziehbaren Aufgaben des Verwaltungsrats sind in Art. 716a OR abschliessend aufgezählt: Oberleitung und Erteilung der nötigen Weisungen, Festlegung der Organisation, Ausgestaltung von Rechnungswesen, Finanzkontrolle und Finanzplanung, Ernennung, Abberufung und Oberaufsicht über die Geschäftsführung, Erstellung des Geschäftsberichts, Vorbereitung der Generalversammlung sowie die Benachrichtigung des Gerichts bei Überschuldung. Sie können delegiert vorbereitet, aber nicht abgegeben werden.
