Shareholder rights

Shareholder rights comprise participation rights (voting, the right to call a meeting and place items on the agenda, information and inspection rights, special investigation), financial rights (dividend, pre-emptive subscription right, share in liquidation proceeds) and rights of action (challenge of resolutions, liability, dissolution). The 2023 company law reform lowered the thresholds: in listed companies, 0.5 per cent of capital or votes suffices to place items on the agenda (Art. 699b CO).

Aktionärsrechte 1084-de
Die Aktionärsrechte umfassen die Mitwirkungsrechte (Stimmrecht, Recht auf Einberufung und Traktandierung, Auskunfts- und Einsichtsrecht, Sonderuntersuchung), die Vermögensrechte (Dividende, Bezugsrecht, Liquidationsanteil) sowie die Klagerechte (Anfechtung, Verantwortlichkeit, Auflösung). Die Aktienrechtsrevision 2023 senkte die Schwellenwerte: Bei börsenkotierten Gesellschaften genügen für die Traktandierung 0,5 Prozent des Kapitals oder der Stimmen (Art. 699b OR).
