Compensation committee

The compensation committee is mandatory for listed companies by statute (Art. 733 CO): its members are elected individually and annually by the general meeting. It supports the board of directors in setting and reviewing remuneration policy and prepares the motions to the general meeting on the remuneration of the board, executive management and any advisory board. The articles of association set out principles on its duties and powers.

Der Vergütungsausschuss ist bei börsenkotierten Gesellschaften von Gesetzes wegen vorgeschrieben (Art. 733 OR): Seine Mitglieder werden von der Generalversammlung einzeln und jährlich gewählt. Er unterstützt den Verwaltungsrat bei der Festlegung und Überprüfung der Vergütungspolitik und bereitet die Anträge an die Generalversammlung über die Vergütungen von Verwaltungsrat, Geschäftsleitung und Beirat vor.
