Duty of loyalty

The duty of loyalty obliges the members of the board of directors to perform their duties with all due care and to safeguard the interests of the company in good faith (Art. 717 CO). From this follow the prohibition on pursuing personal advantages to the company's detriment, the duty to avoid and disclose conflicts of interest (Art. 717a CO), confidentiality, and limits on competing activities and on appropriating corporate opportunities.

Treuepflicht des Verwaltungsrats 1096-de
Die Treuepflicht des Verwaltungsrats verpflichtet die Mitglieder, ihre Aufgaben mit aller Sorgfalt zu erfüllen und die Interessen der Gesellschaft in guten Treuen zu wahren (Art. 717 OR). Daraus folgen das Verbot, Sondervorteile zum Nachteil der Gesellschaft zu verfolgen, die Pflicht zur Vermeidung und Offenlegung von Interessenkonflikten (Art. 717a OR), Verschwiegenheit sowie Schranken für Konkurrenztätigkeit und die Ausnützung von Geschäftschancen der Gesellschaft.
